1. Introduction

These Terms and Conditions ("Terms") govern your use of CanvaSonix (the "Service"), an independent music streaming, distribution, and marketplace platform operated by SOMTOCHUKWU ACHEBO, a sole trader ("we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

CanvaSonix is offered internationally. You are responsible for complying with the laws of the country you access the Service from, and some features, catalogue content, or payment methods may be unavailable in certain territories for licensing or regulatory reasons.

You must be at least 16 years old, or have the consent of a parent or guardian, to use the Service. If you are using CanvaSonix on behalf of a business or organisation, you represent that you have authority to bind that entity.

2. Our Service

CanvaSonix provides tools for music streaming, artist discovery, playlist creation, direct-to-fan sales, artist distribution, analytics, and community features. Features and availability may vary by plan, territory, and account type.

We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue features with reasonable notice where possible.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date. You may not transfer, share, or sell your account.

4. Acceptable Use

You may not use the Service for any unlawful purpose or in any way that:

• violates applicable laws or regulations;
• infringes intellectual property, privacy, or other rights;
• involves fraud, spam, phishing, or impersonation;
• interferes with the security or operation of the Service (including malware, scraping, probing, or automated abuse);
• distributes unauthorised copies of music, harassment, hate speech, or harmful content.

Artists and labels may only upload content they have the right to distribute. You grant us a limited licence to host, transmit, and process your content solely to provide the Service.

5. Intellectual Property

CanvaSonix and its branding, software, designs, and documentation are owned by SOMTOCHUKWU ACHEBO or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for personal or authorised commercial purposes in accordance with these Terms.

You retain ownership of content you upload. By uploading, you represent that you have all necessary rights and grant us the licence described above. Repeated infringement may result in account termination.

6. Payments and Subscriptions

Certain features require payment. Subscription plans renew automatically until cancelled. Prices are shown at checkout and may change with notice.

Our order process is conducted by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides customer service inquiries and handles returns. For full payment terms, please refer to Paddle's Buyer Terms at paddle.com/legal/checkout-buyer-terms.

7. Refund Policy

We offer a 30-day money-back guarantee for eligible purchases. Refund requests are handled by Paddle. See our Refund Policy for details.

8. Suspension and Termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, create a security or fraud risk, or engage in repeated or serious policy violations. You may close your account at any time through your settings.

Upon termination, your right to use the Service ends immediately. Provisions that reasonably should survive termination will continue to apply.

9. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.

To the extent permitted by law, our aggregate liability is capped at the amount you paid us in the 12 months preceding the claim, and we are not liable for indirect, consequential, or special damages. Nothing in these Terms excludes liability for fraud, death, or personal injury where required by law.

10. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which SOMTOCHUKWU ACHEBO is established, without regard to conflict of laws principles, and any dispute will be resolved in the courts of that jurisdiction. Nothing in this clause removes any mandatory consumer protection rights you have under the laws of your country of residence, including the right to bring proceedings in your local courts where local law grants that right.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
